1. Acceptance of Terms

By accessing or using the Utilio platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Utilio. We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Services

Utilio provides a tenancy responsibility platform that enables:

  • Creation and management of property records
  • Generation of utility handover documents
  • Recording of smart meter readings
  • Management of tenant and landlord information
  • Generation of ombudsman-ready PDF documents

The Service is provided on an “as is” and “as available” basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. User Accounts

3.1 Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Types

Different account types (admin, manager, user) have different permissions and capabilities. You agree to use your account only within the scope of your authorized permissions.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload false, misleading, or fraudulent property or utility information
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated scripts, bots, or other means to access the Service
  • Collect or harvest user information without consent
  • Transmit viruses, malware, or other harmful code
  • Use the Service to send spam or unsolicited communications

5. User Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service.

You are solely responsible for the accuracy and legality of the content you submit. You represent that you have all necessary rights to submit such content and that it does not infringe any third-party rights.

6. Fees and Payment

Certain features of the Service may require payment. All fees are quoted in GBP unless otherwise stated. You agree to pay all applicable fees and taxes associated with your use of the Service.

We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Utilio and is protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

The generated documents are provided as tools to assist with utility transfers and should be verified by users before submission to utility companies. We do not guarantee acceptance by utility providers or regulatory bodies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Utilio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and associated data in accordance with our data retention policy
  • Any provisions of these Terms that should survive termination will remain in effect

You may terminate your account at any time by contacting us or using the account deletion feature in your profile settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Utilio regarding the Service and supersede all prior agreements and understandings.
